KIVIDB END USER LICENSE AGREEMENT

IMPORTANT — READ BEFORE DOWNLOADING, INSTALLING OR USING THE SOFTWARE

This End User License Agreement (the "Agreement") is a legal agreement between you and KIVIDB PRIVATE LIMITED, a company incorporated in India with its registered office in Indore, Madhya Pradesh, India ("KiviDB", the "Licensor", "we" or "us"). It governs the KiviDB database software that you download and run yourself.

By downloading, installing, copying or using the Software, you accept this Agreement. If you accept it on behalf of a company or other organization, you confirm that you have the authority to bind it, and "you" means that organization. If you do not accept this Agreement, do not download, install or use the Software, and delete every copy you have.

This Agreement is published at https://kividb.io/EULA, and the Software shows that address each time it starts.

1. DEFINITIONS

"Software" means the KiviDB database server and its accompanying tools in executable (binary) form, however you obtained them from KiviDB, including release archives, operating system packages, container images and package managers, together with their documentation and any updates KiviDB provides to you under this Agreement.
"Internal Use" means use by you, and by your employees and contractors acting on your behalf, to run your own applications, products and services, including in production.
"Managed Service" means making the Software, or a database service substantially based on it, available to third parties who use it as a database, for example as a hosted, managed or "as a service" database offering.
"Competing Service" means any product or service offered to third parties that is primarily a Redis-protocol-compatible in-memory database, where the Software is the underlying or a substantial component.
"KiviDB Cloud" means the database service KiviDB operates and that you use through https://kividb.io, including databases KiviDB runs in a cloud account you connect to it.

2. GRANT OF LICENSE

Subject to your compliance with this Agreement, KiviDB grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license, free of charge, to:

install and run the Software on computers, servers, virtual machines and containers that you own, lease or control, including in cloud accounts you control;
use the Software for Internal Use, including development, testing, evaluation and production;
make the copies reasonably needed for that use, including for backup, disaster recovery and deployment across your own infrastructure;
build and operate applications that connect to the Software or run alongside it, provided they are not a Managed Service or a Competing Service.

You are responsible for your employees' and contractors' use of the Software and for their compliance with this Agreement.

3. RESTRICTIONS

Except as this Agreement expressly allows, or as applicable law allows despite this restriction, you must not:

offer the Software as a Managed Service, or build or operate a Competing Service;
distribute, sell, resell, rent, lease, lend, sublicense, publish or otherwise make the Software available to any third party, including as part of a product you distribute, other than by running it within your own infrastructure for your Internal Use;
reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of the Software;
modify, adapt, translate or create derivative works of the Software;
remove, alter or obscure any copyright, trademark or other proprietary notice, or this Agreement, in or accompanying the Software;
circumvent, disable or interfere with any license key, entitlement or usage limit in the Software;
use the Software in breach of any applicable law, including export control and sanctions laws.

Configuring the Software through its documented command-line options, configuration files and environment variables, and connecting to it with any client, are not modifications.

4. COMMERCIAL LICENSES

Running a Managed Service or a Competing Service, distributing the Software as part of a product, or any other use outside this Agreement requires a separate written agreement with KiviDB. Contact support@kividb.io.

KiviDB images obtained through a cloud marketplace (Amazon Web Services, Google Cloud or Microsoft Azure) are governed by the KiviDB Cloud Marketplace End User License Agreement that accompanies them, not by this Agreement.

5. OWNERSHIP

The Software is licensed to you, not sold. KiviDB and its licensors own all right, title and interest in the Software, including all intellectual property rights in it. All rights not expressly granted in this Agreement are reserved.

If you send KiviDB suggestions or other feedback about the Software, KiviDB may use them for any purpose without any obligation to you.

6. THIRD-PARTY COMPONENTS

The Software includes open-source components that are licensed to you under their own licenses, such as the MIT License and the Apache License 2.0. Those licenses, and the notices they require, accompany the Software or are available on request from support@kividb.io. Nothing in this Agreement restricts your rights under those licenses for those components.

7. UPDATE CHECK

Versions of the Software that include an update check make one HTTPS request to https://kividb.io each time they start, to find out whether a newer release is available and to retrieve a short announcement to display. The request includes only the version of the Software, the operating system, the processor architecture and the build variant. It does not include your data, your configuration or anything that identifies your machine, although, like any internet request, it reveals the public IP address it is sent from.

You can turn the update check off with the command-line option --update-check no, or by setting the environment variable KIVIDB_NO_UPDATE_CHECK=1. Apart from this request, the Software does not send information to KiviDB. KiviDB handles the information it receives as described in its Privacy Policy at https://kividb.io/privacy.

8. UPDATES AND SUPPORT

KiviDB may, but is not required to, provide updates to the Software. Updates are governed by this Agreement unless they come with different terms. KiviDB has no obligation to provide support or maintenance for the Software unless you and KiviDB agree otherwise in writing.

9. KIVIDB CLOUD

This Agreement does not cover KiviDB Cloud. Your use of KiviDB Cloud is governed by the KiviDB Terms of Service at https://kividb.io/terms and the Service Level Agreement at https://kividb.io/sla. If you use both the Software and KiviDB Cloud, each is governed by its own terms.

10. TERM AND TERMINATION

This Agreement starts when you first download, install or use the Software and continues until it ends. You may end it at any time by deleting every copy of the Software. It ends automatically, without notice, if you breach it.

When this Agreement ends, your license ends, and you must stop using the Software and delete every copy. Sections 5, 6 and 11 to 16 continue to apply after it ends.

11. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. KIVIDB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT DATA WILL NOT BE LOST. YOU ASSUME ALL RISK OF USING THE SOFTWARE, INCLUDING RESPONSIBILITY FOR BACKING UP YOUR DATA.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KIVIDB WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE OR GOODWILL, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE, EVEN IF ADVISED OF THEIR POSSIBILITY. KIVIDB'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE WILL NOT EXCEED INR 1,000. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

13. INDEMNITY

You will defend, indemnify and hold harmless KiviDB and its directors, employees and agents against any claim, loss, liability or expense, including reasonable legal fees, arising out of your breach of this Agreement or your use of the Software in breach of applicable law.

14. EXPORT CONTROL

You will comply with all export control and economic sanctions laws that apply to the Software, including those of India and of any other country whose laws apply to you, and you will not export, re-export or provide the Software to any country, person or entity where doing so is prohibited by those laws.

15. GOVERNING LAW AND DISPUTES

This Agreement is governed by the laws of India, without regard to its conflict-of-laws rules. The courts of Indore, Madhya Pradesh, India have exclusive jurisdiction over any dispute arising out of or relating to this Agreement or the Software, except that KiviDB may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property.

16. GENERAL

Entire agreement: this Agreement is the entire agreement between you and KiviDB about the Software and replaces any earlier agreement about it. If you and KiviDB have signed a separate written agreement covering the Software, that agreement governs where it differs from this one.
Changes: KiviDB may publish new versions of this Agreement at https://kividb.io/EULA. A new version applies to versions of the Software released on or after its effective date. The version that accompanies your copy of the Software continues to govern that copy.
Severability: if any provision is found unenforceable, it will be enforced to the maximum extent permitted, and the rest of this Agreement remains in effect.
No waiver: a failure or delay by KiviDB in enforcing any provision is not a waiver of it.
Assignment: you may not assign or transfer this Agreement without KiviDB's prior written consent. KiviDB may assign it, including as part of a merger, acquisition or sale of assets.
Language: this Agreement is written in English, and the English version governs.

Redis® is a registered trademark of Redis Ltd. KiviDB is an independent implementation and is not affiliated with or endorsed by Redis Ltd.

Dragonfly is a trademark of DragonflyDB Ltd. KiviDB is not affiliated with or endorsed by DragonflyDB Ltd.

KiviDB™ is a trademark of KIVIDB PRIVATE LIMITED (Trademark Application Nos. 7644896 and 7644906, India).
