1. Definitions
In these Terms, the following words have the meanings set out below:
- "KiviDB", "we", "us", or "our" means KIVIDB PRIVATE LIMITED, a company incorporated under the Companies Act, 2013, with CIN U62011MP2026PTC083420, having its registered office in Indore, Madhya Pradesh, India.
- "Services" means the KiviDB cloud-hosted SaaS platform, downloadable software packages, APIs, documentation, and any other products or services provided by KiviDB.
- "User", "you", or "your" means any individual, developer, business, or entity that accesses or uses the Services.
- "Account" means the registered account through which you access the Services.
- "Data" means any data, content, or information you submit, upload, store, or process through the Services.
- "Subscription" means a paid or free tier plan for access to the cloud-hosted Services.
2. Acceptance of Terms
By creating an Account, downloading our software, accessing our APIs, or otherwise using the Services, you confirm that:
- You have read and understood these Terms;
- You are at least 18 years of age, or if accessing on behalf of an organization, you have authority to bind that organization;
- You agree to comply with these Terms and all applicable laws and regulations, including Indian law and the laws of the jurisdiction in which you operate.
We reserve the right to update these Terms at any time. We will notify you of material changes via email or a prominent notice on our website. Continued use of the Services after such notice constitutes acceptance of the updated Terms.
3. Description of Services
3.1 Cloud SaaS Platform
KiviDB provides a managed, cloud-hosted in-memory database service accessible via our web dashboard and APIs. The cloud platform is subject to the availability, performance, and support terms described in any applicable Service Level Agreement (SLA) provided separately.
3.2 Downloadable Software
KiviDB also provides downloadable software packages for self-hosted deployment. The downloadable software is licensed, not sold, to you under these Terms. Your use of the downloadable software is subject to the license grant in Section 4 below.
3.3 API Access
KiviDB exposes APIs that are compatible with the Redis and Dragonfly command protocols. This compatibility is achieved through KiviDB's own independent, proprietary implementation written in Rust. KiviDB does not incorporate, distribute, or derive from Redis or Dragonfly source code. All KiviDB source code is original and proprietary to KIVIDB PRIVATE LIMITED.
4. License Grant
4.1 Cloud Services
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the cloud Services during your Subscription period solely for your internal business or personal purposes.
4.2 Downloadable Software
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the KiviDB downloadable software solely for your own internal purposes. This license does not permit you to:
- Distribute, resell, sublicense, or make the software available to third parties as a managed service or hosted offering;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the software;
- Modify, adapt, translate, or create derivative works of the software;
- Remove, alter, or obscure any proprietary notices, labels, or marks in the software;
- Use the software to build a product or service that competes directly with KiviDB.
4.3 Reservation of Rights
All rights not expressly granted in these Terms are reserved by KiviDB. The software and Services are protected by copyright, trade secret, and other intellectual property laws of India and applicable international treaties.
5. Third-Party Trademarks and Compatibility Notices
5.1 Redis® Compatibility
KiviDB is compatible with the Redis® command protocol and API. "Redis" is a registered trademark of Redis Ltd. KiviDB is not affiliated with, endorsed by, sponsored by, or in any way officially connected with Redis Ltd.
KiviDB's implementation is entirely independent. No Redis source code is used in KiviDB. Users who require Redis-licensed software should obtain it directly from redis.io. References to "Redis-compatible" in KiviDB's materials are solely to describe protocol interoperability and do not imply any relationship with Redis Ltd.
Redis® is a registered trademark of Redis Ltd. All rights in the Redis name and logo are owned by Redis Ltd. KiviDB uses the Redis name solely for nominative descriptive purposes in accordance with applicable trademark law.
5.2 Dragonfly Compatibility
KiviDB is compatible with the Dragonfly command protocol and API. "Dragonfly" is a trademark of DragonflyDB Ltd. KiviDB is not affiliated with, endorsed by, or in any way officially connected with DragonflyDB Ltd.
KiviDB's implementation is entirely independent. No Dragonfly source code is used in KiviDB. References to "Dragonfly-compatible" in KiviDB's materials are solely to describe protocol interoperability and do not imply any relationship with DragonflyDB Ltd.
5.3 General Third-Party Trademark Notice
All third-party product names, trademarks, and registered trademarks mentioned in our materials are the property of their respective owners. Their mention does not imply any affiliation, endorsement, or sponsorship of KiviDB by those trademark owners.
6. KiviDB Trademark and Brand
"KiviDB" and the KiviDB logo are trademarks of KIVIDB PRIVATE LIMITED, registered under trademark application numbers 7644896 (Class 9) and 7644906 (Class 42) in India. You may not use the KiviDB name, logo, or branding in any manner that:
- Suggests affiliation, endorsement, or sponsorship by KiviDB without our prior written consent;
- Is likely to cause confusion, mistake, or deception among consumers;
- Disparages KiviDB, its products, or its personnel;
- Violates applicable trademark law.
Fair reference to KiviDB for descriptive or editorial purposes (e.g., stating that your application is "compatible with KiviDB") is permitted provided it is accurate and not misleading.
7. User Obligations and Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:
- Use the Services in any way that violates any applicable Indian or international law or regulation;
- Attempt to gain unauthorized access to any part of the Services, other accounts, or computer systems connected to the Services;
- Transmit any viruses, malware, or other harmful code through the Services;
- Use the Services to store or transmit infringing, defamatory, obscene, or otherwise unlawful content;
- Interfere with or disrupt the integrity or performance of the Services;
- Resell, sublicense, or otherwise commercially exploit the Services without our prior written consent;
- Circumvent any technical limitations, access controls, or security measures in the Services;
- Engage in excessive API usage or activities that place unreasonable load on our infrastructure.
8. Accounts and Security
You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to notify us immediately at support@kividb.io if you become aware of any unauthorized use of your Account or any other security breach.
KiviDB will not be liable for any loss or damage arising from your failure to maintain adequate security of your Account credentials.
9. Fees and Payment
Certain Services are provided on a paid Subscription or prepaid credit basis. All fees are as specified on our pricing page at www.kividb.io and are subject to change with advance notice. Unless otherwise stated:
- All fees are in Indian Rupees (INR), United States Dollars (USD), or such other currency as specified at checkout;
- Fees are payable in advance and are non-refundable except as required by applicable law or as expressly stated in these Terms;
- We reserve the right to suspend or terminate access to the Services for non-payment;
- Applicable taxes, including GST, will be charged in addition to the fees where required by law.
9.1 Prepaid credits and match offer
KiviDB Cloud operates on prepaid credits. Paid top-ups do not expire. From time to time we may offer promotional match credits (for example, $200 in match credits after your cumulative paid top-ups reach $200 or more, so that you may hold up to $400 in credits after claiming). Match credits, if claimed, expire ninety (90) days after the claim date unless otherwise stated in the offer. Credits are consumed on a first-in, first-out basis: the oldest unused credit balance is applied to usage first. Match credits are subject to eligibility, one claim per account, and may be modified or withdrawn prospectively. Promotional credits have no cash value and are non-transferable.
10. Your Data
10.1 Ownership
You retain all ownership rights in and to the Data you submit to the Services. KiviDB does not claim any ownership over your Data.
10.2 License to KiviDB
By submitting Data to the Services, you grant KiviDB a limited, non-exclusive, royalty-free license to process, store, and transmit your Data solely to the extent necessary to provide the Services to you.
10.3 Data Security
We implement commercially reasonable technical and organizational measures to protect your Data against unauthorized access, loss, or disclosure. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.
10.4 Data Location and Portability
Your database instance, its storage volumes and its backups are created in the cloud provider and geographic region you select when provisioning, and they remain there for the life of the instance. Backups and snapshots stay within the cloud in which they were taken and cannot be moved to a different cloud provider. You may move a backup between regions within the same cloud provider.
Your account metadata — your identity, billing records, instance configuration and usage measurements — and the operational logs the platform collects are processed by our control plane in the European Union, regardless of which cloud provider or region you select for the database itself.
To move data between cloud providers, export it from the source instance and import it into an instance on the destination provider. We make the export and import tooling available to you as part of the Services.
10.5 Network Access Controls
You control who can reach your database. An allow-list restricts access to IP addresses you nominate. Encryption in transit is available, and requiring it closes the unencrypted port to your clients. On paid plans you may also enable private connectivity, which lets you reach your database from your own cloud network without traffic crossing the public internet. Private connectivity is charged monthly per instance plus a per-gigabyte rate, and continues to be charged while an instance is stopped, because the underlying network resources remain allocated to you.
Where you enable the option to block public access, your allow-list is withdrawn and no client of yours can reach the database over the public internet. KiviDB retains a limited management connection to your instance, used only to operate the Services — for example health monitoring, applying user and permission changes you request, and the in-browser data browser. This connection cannot be disabled, because the Services would not function without it. Blocking public access therefore removes public reachability for your clients; it does not remove every network path to the instance.
We may adjust these controls where necessary to maintain the security, integrity, or availability of the Services, and will not weaken a restriction you have chosen without telling you.
10.6 Data on Termination
Upon termination of your Account or Subscription, we will retain your Data for a period of 30 days during which you may export it. After this period, we may permanently delete your Data. It is your responsibility to export your Data before termination.
11. Privacy
Your use of the Services is also governed by our Privacy Policy, available at www.kividb.io/privacy. The Privacy Policy is incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and disclosure of your personal data as described in our Privacy Policy.
KiviDB complies with the Digital Personal Data Protection Act, 2023 (India) and other applicable data protection laws. For any data protection queries, contact us at support@kividb.io.
12. Intellectual Property
The Services, including all software, code, algorithms, interfaces, documentation, and content, are the exclusive property of KIVIDB PRIVATE LIMITED and are protected under the Copyright Act, 1957 (India), the Patents Act, 1970, the Trade Marks Act, 1999, and applicable international intellectual property laws.
Nothing in these Terms transfers any intellectual property rights to you. You acknowledge that KiviDB's software is an original, independent implementation and that any similarity in command-level API behavior to third-party databases is a result of industry-standard protocol compatibility and does not constitute copying or infringement.
13. Disclaimer of Warranties
KiviDB does not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. KiviDB does not warrant that the results obtained from use of the Services will be accurate or reliable.
14. Limitation of Liability
In no event shall KiviDB's aggregate liability to you for all claims arising out of or relating to these Terms or the Services exceed the greater of: (a) the total fees paid by you to KiviDB in the twelve (12) months immediately preceding the claim; or (b) INR 5,000.
15. Indemnification
You agree to indemnify, defend, and hold harmless KiviDB and its directors, officers, employees, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Services in violation of these Terms;
- Your violation of any applicable law or regulation;
- Your infringement of any third-party intellectual property rights;
- Any Data you submit to the Services.
16. Term and Termination
These Terms take effect when you first access or use the Services and continue until terminated. Either party may terminate at any time. KiviDB may suspend or terminate your access immediately and without notice if:
- You breach any provision of these Terms;
- We are required to do so by law or court order;
- We decide to discontinue the Services (with reasonable prior notice where possible).
Upon termination, the license granted to you will immediately cease. Sections 4.3, 5, 6, 12, 13, 14, 15, 18, and 19 shall survive termination.
17. Export Compliance and Foreign Trade
KiviDB provides services to international customers. You represent and warrant that your use of the Services complies with all applicable export control laws and regulations, including those of India (Foreign Trade Policy) and any applicable international regulations. You agree not to use the Services in connection with the development, production, or storage of nuclear, chemical, or biological weapons.
18. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Indore, Madhya Pradesh, India.
Before initiating formal legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiations for a period of 30 days. If the dispute cannot be resolved through negotiation, either party may pursue arbitration under the Arbitration and Conciliation Act, 1996 (India), with arbitration proceedings conducted in Indore in the English language.
19. General Provisions
19.1 Entire Agreement
These Terms, together with our Privacy Policy and any applicable SLA or order form, constitute the entire agreement between you and KiviDB with respect to the Services and supersede all prior agreements and understandings.
19.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
19.3 Waiver
KiviDB's failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
19.4 Assignment
You may not assign or transfer these Terms or any rights hereunder without KiviDB's prior written consent. KiviDB may freely assign these Terms, including in connection with a merger, acquisition, or sale of assets.
19.5 Force Majeure
KiviDB shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including natural disasters, acts of government, internet outages, or other force majeure events.
19.6 Language
These Terms are drafted in English. In the event of any conflict between an English version and a translated version, the English version shall prevail.
